These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and PicaDeck ("PicaDeck," "we," "us," or "our") governing your access to and use of the PicaDeck platform, including our website, applications, APIs, and all related services (collectively, the "Service").
By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
If you do not agree with any part of these Terms, you must not access or use the Service.
PicaDeck is a visual, collaborative database schema management platform that enables users to design, version, and manage database schemas through an intuitive interface. The Service includes, but is not limited to:
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will make reasonable efforts to notify users of significant changes.
To access most features of the Service, you must create an account. When registering, you agree to provide accurate, current, and complete information and to update such information as necessary to keep it accurate and complete.
You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must immediately notify us at support@picadeck.com if you suspect any unauthorized use of your account.
The Service offers individual accounts and organizational accounts. Organizational accounts allow multiple users to collaborate under a shared workspace. Organization administrators are responsible for managing member access and permissions.
You must be at least 16 years of age to use the Service. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.
The Service offers both free and paid subscription plans. Free plans provide access to core features with certain limitations. Paid plans unlock additional features such as git-like version control, advanced collaboration tools, and increased usage limits.
All payments are processed through Paddle, our merchant of record. By subscribing to a paid plan, you agree to Paddle's terms of service and authorize recurring charges to your chosen payment method. Paddle handles all billing, invoicing, sales tax, and VAT compliance on our behalf.
Paid subscriptions are billed in advance on a monthly or annual basis, depending on the plan you select. Your subscription automatically renews at the end of each billing cycle unless you cancel before the renewal date.
You may cancel your subscription at any time through your account settings. Upon cancellation, your paid plan remains active until the end of the current billing period, after which your account reverts to the free plan. Refunds are handled in accordance with Paddle's refund policy. If you believe you are entitled to a refund, please contact us at support@picadeck.com.
We may change subscription prices from time to time. Any price changes will be communicated at least 30 days before they take effect. Continued use of the Service after price changes constitutes acceptance of the new pricing.
You agree not to use the Service to:
We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this section, including suspending or terminating the offender's account without notice.
The Service, including its design, code, features, logos, trademarks, and all related documentation, is the exclusive property of PicaDeck and is protected by intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service except the limited right to use it in accordance with these Terms.
If you provide suggestions, ideas, or other feedback about the Service ("Feedback"), you grant us a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, and distribute such Feedback for any purpose without compensation or attribution to you.
You retain all rights, title, and interest in and to the data, schemas, and other content you create, upload, or store through the Service ("Your Content"). PicaDeck does not claim ownership of Your Content.
By using the Service, you grant PicaDeck a limited, non-exclusive, worldwide license to host, store, process, and display Your Content solely for the purpose of providing and improving the Service. This license terminates when you delete Your Content or close your account, except as required for backup and archival purposes.
You may export Your Content at any time using the Service's built-in export features. We support export in SQL, Prisma schema, and JSON formats. Upon account termination, you will have a reasonable period (30 days) to export Your Content before it is permanently deleted.
We implement industry-standard security measures to protect Your Content, including encryption in transit and at rest. However, no method of electronic storage or transmission is 100% secure, and we cannot guarantee absolute security. You are responsible for maintaining backups of your critical data.
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. The Privacy Policy is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or reliability of any content available through the Service.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PICADECK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER IN AN ACTION IN CONTRACT, TORT, OR OTHERWISE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
You agree to indemnify, defend, and hold harmless PicaDeck and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
You may terminate your account at any time by contacting us at support@picadeck.com or through your account settings. Upon termination, your right to use the Service will immediately cease.
We may suspend or terminate your account and access to the Service at our sole discretion, without prior notice, for conduct that we determine violates these Terms, is harmful to other users, to us, or to third parties, or for any other reason we deem appropriate.
Upon termination, your license to use the Service terminates immediately. You will have 30 days from the date of termination to export Your Content. After this period, we may permanently delete Your Content. Sections of these Terms that by their nature should survive termination will survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and indemnification.
We reserve the right to update or modify these Terms at any time. When we make material changes, we will notify you by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through good-faith negotiation. If a dispute cannot be resolved through negotiation within 30 days, either party may pursue binding arbitration or litigation in the courts of competent jurisdiction.
If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and PicaDeck regarding your use of the Service, superseding any prior agreements or understandings.
